Item 7.01. Regulation FD Disclosure.
Included herein is financial information related to Southern Indiana Gas and Electric Company (“CEI South”). CEI South is a wholly-owned subsidiary of Vectren Utility Holdings, LLC (“VUH”). VUH is a wholly-owned subsidiary of Vectren, LLC (“Vectren”), which in turn, is an indirect, wholly-owned subsidiary of CenterPoint Energy, Inc. (“CenterPoint Energy”).
Exhibit 99.1 to this Current Report on Form 8-K includes audited financial statements for the years ended December 31, 2025 and 2024 for CEI South. These financial statements are not intended to comply with Regulation S-X or Regulation S-K. Exhibit 99.2 includes certain supplementary financial and operational data of CEI South for the years ended December 31, 2025 and 2024.
