Designation of Principal Financial Officer

Effective May 11, 2026, the Board of Directors of GBank Financial Holdings Inc. (the “Company”), designated Olivia M. Caley, Senior Vice President, Financial Reporting Director of GBank, to serve as the Company's Principal Financial Officer while Jeffery E. Whicker, Executive Vice President, Chief Financial Officer and Treasurer of the Company is on a medical leave of absence and until such time as Mr. Whicker resumes his position as Principal Financial Officer. Mr. Whicker remains an employee.

A Certified Public Accountant, Ms. Caley has served as Senior Vice President, Financial Reporting Director of GBank since September 2022. Prior to joining GBank, Ms. Caley served as First Vice President, Financial Reporting Director of Mid Penn Bank in Harrisburg, PA from July 2017 to March 2022, and in various accounting and financial reporting positions at PeoplesBank in York, PA from August 2008 to June 2017.

There are no family relationships between Ms. Caley and any executive officer or director of the Company and Ms. Caley has no transactions reportable under Item 404(a) of Regulation S-K.
