    When Renaud, Kevin and I started this company nearly twenty years ago, our vision was simple: to democratize live experiences. Together with you, we’ve built something extraordinary.

    Today, I’m sharing an important milestone in Eventbrite’s journey. We have reached a definitive agreement for our company to be acquired and taken private by Bending Spoons. This step positions us for long-term sustainability and gives us the resources to innovate even more boldly while staying true to the mission that brought us here.

    The proposed transaction is expected to close in the first half of 2026, subject to customary closing conditions and approvals, including receipt of required regulatory approvals and approval by our stockholders.

    In joining Bending Spoons, Eventbrite would become a part of an impressive and growing portfolio of leading digital products that have served more than a billion people globally. In addition to improving our ability to deliver on our mission to bring the world together through live experiences, our teams would benefit from access to resources and proprietary technologies within Bending Spoons to propel innovation and growth; all things which will ultimately serve our creators and customers.

    I know this news will likely raise more questions than we have answers for you today. Please know that we will share information as details are finalized closer to and at closing.
