Notice of 2026 Annual Meeting of Shareholders

 

Verizon Communications Inc.’s Annual Meeting of Shareholders will be held on Thursday, May 21, 2026 at 10:00 a.m. Eastern Daylight Time, virtually via the internet at meetnow.global/VZ2026.

 

Proposals to be voted on at the meeting are listed below along with the Board of Directors’ recommendations.

 

The Board of Directors recommend a vote FOR all the nominees listed and FOR Proposals 2 - 4:

	1.	Election of Directors
	2.	Advisory vote to approve executive compensation
	3.	Approval of Verizon’s 2026 Long-Term Incentive Plan
	4.	Ratification of appointment of independent registered public accounting firm
