    This Registration Statement on Form S-8 is filed to register the offer and sale of an additional 2,650,000 shares of Common Stock, $0.01 par value per share (“Common Stock”), of Commercial Vehicle Group, Inc., a Delaware corporation (the “Company”), under the Second Amended and Restated Commercial Vehicle Group, Inc. 2020 Equity Incentive Plan (the “Second Amended Plan”). This Registration Statement relates to securities of the same class as that to which the Registration Statements on Form S-8 filed by the Company with the Securities and Exchange Commission (“SEC”) on May 23, 2025 (SEC File No. 333-287543) and October 15, 2020 (SEC File No. 333-249494) (and hereby incorporated by reference) relate.
