    HOUSTON, March 09, 2026 (GLOBE NEWSWIRE) -- U.S. Energy Corp. (NASDAQ:USEG, "U.S. Energy" or the "Company"), "U.S. Energy" or the "Company") today announced the pricing of its underwritten offering of 8,800,000 shares of its common stock, par value $0.01 per share ("common stock"), at an offering price of $1.00 per share, for total gross proceeds, $8.8 million.

    The offering is expected to close on March 10, 2026, subject to customary closing conditions.

    U.S. Energy plans to use the net proceeds of the offering to fund growth capital for its industrial gas development project, including processing plant and infrastructure, and to support upcoming operations.

    Roth Capital Partners is acting as sole book-running manager for the offering.

    The offering is being made pursuant to a shelf registration statement on Form S-3, including a base prospectus, which was filed with the U.S. Securities and Exchange Commission (the "SEC") and became effective on September 23, 2025. The final prospectus supplement, when available, will be filed with the SEC and will be available on the SEC's website at www.sec.gov.
