On July 16, 2026, Steven Ciardiello notified Shutterstock, Inc. (the “Company”) of his decision to resign as Chief Accounting Officer of the Company, effective August 28, 2026 following a transition period. Mr. Ciardiello’s resignation was not the result of any disagreement with the Company on any matter relating to the Company's operations, policies or practices. The Company is conducting a
search for a successor.

On July 22, 2026, the Company issued a press release announcing that at a meeting held on July 20, 2026 its Board of Directors resolved to
suspend the Company's future quarterly cash dividend. A copy of the press release is attached as Exhibit 99.1 to this Current Report on Form 8-K and is incorporated herein by reference.
