On December 19, 2025 TrustCo Bank Corp NY (the “Company”) announced that its Board of Directors authorized a stock repurchase program. Under the stock repurchase program,
the Company may repurchase up to 2,000,000 shares of its common stock, or approximately 11% of its currently outstanding shares.
A copy of the press release dated December 19, 2025, announcing the stock repurchase program is attached as Exhibit 99.1 to this report and is incorporated herein by
reference.
