Item 8.01 Other Events.
On February 10, 2026, Solar Drone, a wholly owned subsidiary of VisionWave Holdings, Inc. (the “Company”), issued a press release announcing continuing business development discussions regarding possible opportunities in Middle Eastern markets, including Egypt and the United Arab Emirates, following executive meetings held in Naples, Italy. The press release also highlights the Company’s patented drone-based cleaning technology and its current commercial operations in Italy.
A copy of the press release is furnished as Exhibit 99.1 to this Current Report on Form 8-K and is incorporated herein by reference.
